Director, Chittaranjan National Cancer Institute (CNCI) intends to enlist parties for supply of different category of items. Only established and recognized suppliers/ manufacturers/ authorized dealers/ stockiest who possess the valid Vat/ PT and up-to-date IT returns and have experience of supplying any one or more of under mentioned category of items to Government/ Autonomous Institutions are requested to apply.

Application forms, terms and conditions and other documents can be had from Purchase Section 6th Floor (Research building) on all working days between 11 AM to 2 PM on payment of Rs. 1,000 (One thousand only) (Non Refundable) for each Item through A/C payee DD in favour of Director, CNCI, Kolkata, payable at Kolkata. Sealed applications with terms and conditions superscribing “Application for Enlistment” are to be deposited in the Tender Box kept in the Purchase Section.

The Director, CNCI, invites sealed Tenders from reputed International/ National manufacturer or their authorized representatives in India in prescribed non-transferable tender forms for the procurement of following sophisticated equipments with accessories:
(1) Incinerator (2) Horizontal sterilizer (3) Low speed cold centrifuge (4) Low temperature immersion probe (5) High speed cold centrifuge (6) CO2 Incubator (7) Electronic balance (8) Inverted microscope (9) Bright field microscope with photographic system (10) Liquid nitrogen tank with low evaporation rate (11) High voltage power pac (12) Microtome (13) Freeze Dryer (14) Ultrasonic cell disrupter (15) Environmental shaker (16) Photocopier (17) Mini Electrophoresis Set.

The tenders are to be submitted as Single Bid system with tender fee of Rs 500/ (non-refundable) in the form of A/C payee DD in favour of “Director, CNCI” payable at Kolkata. Earnest money @ 2% of the quoted price is to be deposited along with the tender documents. No tender will be accepted without these fees.

The prescribed non-transferable tender forms with detailed description will be available from CNCI website: www.cncikolkata.org. The tenderers are requested to download the tender forms from the website. The tender documents should be deposited in the Tender Box kept in the purchase section (Research wing) within 12-30 pm on 09.02.2010 and will be opened at 2-30 pm on the same day in presence of tenderers.

Director, CNCI, reserves the right to accept or reject any or all the tenders without assigning any reason whatsoever.

 

AGREEMENT BETWEEN CHITTARANJAN NATIONAL CANCER INSTITUTE, KOLKATA 700026, INDIA
and M/S ------------------------  (Foreign Manufacturer)

1. This agreement made on this day of                     amongst M/s --------------, India (Supplier/Beneficiary), (here in after referred as Party 2) and M/s ----------------(Foreign Manufacturer) (here in after referred as Party 3) which expression shall, unless excluded by or repugnant to the subject or context, include their successors, representatives, heirs, executors and administrators) on the one part and Chittaranjan National Cancer Institute, 37 S.P. Mukherjee Road, Kolkata 700026, India (here in after called Party 1) on the other part.

2. Whereas Party1 has placed an order to party 3 through their Indian supplier Party 2 vide buyers order No. ------------------- dated ----------- for ------ number of --------------- along with accessories. Party 2 and Party 3 have agreed to sell/supply, install, commission and maintain the system/equipment at Chittaranjan National Cancer Institute, Kolkata.

3. Party 2, Party 3 and Party 1 hereby further agree that the said order together with the schedule(s) instructions and all special conditions shall be deemed to form part of this agreement as though separately set out herein and are included in the expression contract whenever used in the connection with the said order.

4. DELIVERY / INSURANCE.

  1. Delivery of the system will be within 3 months from the date of receipt of acceptable letter of Credit by Party 3. Extension under any circumstances will not be considered. Any cost escalation due to delay on account of default by Party 2 and Part 3 will be on the account of Party 2 and Party 3.
  2. That Party 2  and Party 3 shall replace any part or even the whole part of the system as may be necessary, if found damaged on arrival at site or during installation of the system or if found not conforming to the specifications as described in Annexure –I at their own cost.
  3. The equipment shall be dispatched by --------------- from -------- to Kolkata airport/port. The equipment shall be insured upto site of Party 1 by Party 3 for full CIF Value up to CNCI.

5. CUSTOM CLEARANCE
Customs clearing procedures & charges shall be borne by Party 2 and also transportation procedures & charges shall be undertaken by Party 2 under their responsibility and care for which no additional payment will be made by Party 1, except the actual customs duty. The demurrage charges incurred due to delay in availability of relevant documents & Customs Duty from Party1 will be on account of Party1.

6. PRICE PAYMENT TERMS

  1. The Total Price of ------------- with accessories is ----------$/Euro/Yen etc.(in words and figures) which is CIF value, Kolkata.
    The payment for the imported goods shall be made through a confirmed, irrevocable letter of credit/sight draft to M/s --------------, the Principal (Party 3) and the payment for local items and service shall be made through irrevocable letter of credit / bank draft etc to------------- (Party 2) and the payment of service charges shall be payable in Indian Rupees through bank draft etc. in favour of M/s -----------------. The actual custom duty and any increase in actual custom duty applicable at the time of clearance will be due to the account of Party
    The release of the payment will be in the following way:
    1. Advance Payment: Nil.
    2. On delivery ninety percent (90%) of the contract price shall be paid on receipt of goods and upon submission of the documents.
    3. On Final Acceptance: The remaining ten percent (10%) of the contract price shall be paid to the supplier within 60 days after satisfactory installation and the date of acceptance certificate issued by the purchaser’s representative for the respective delivery.
  2. Installation and commissioning of the ------------------  is free of charge and installation would be carried out by M/s --------------------
  3. Maintenance of the system including all the spare parts required during the warranty period of -------- year for the main system from the date of installation and successful operation   of the unit will be at the cost of Party 2 and Part 3. Party 3 will provide spare parts.
  4. The import license, permanent account number and any other necessary documents required for custom clearance will be provided well in advance by Party 1
  5. Party 1 will provide way bill if necessary.

7. INSTALLATION
Party 2 and Party 3 shall demonstrate, conduct and trial run to establish successful performance and handing over of the said equipment in satisfactory working condition within a period of 90 days from the date of delivery of the equipment at site of Party 1.
N.B: All the prerequisites for installations including site have to be made ready to avoid any delay in installation after arrival of consignment by Party1.
      
8. WARRANTY / SERVICE
a) The Party 2 and Party 3 have agreed that the system ---------------- shall remain under warranty for a period of 12 months from the date of installation, acceptance and commissioning OR 15 months from date of shipment whichever occurs earlier.
b) Party 1 will provide duty exemption certificate in connection with the import of any replacements.
c) In case of detection of any fault in the instrument and informing the same to the Party 2 by Party 1, Party 2 should attend the instrument within 48 hrs (with exclusion of Sundays, Holidays) and take appropriate measures to rectify the problem.
d) In the event of any correction of defects or replacements of defective materials during the warranty period, the warranty for the corrected replaced material shall be extended to a further period of 12 months and the performance bank guarantee for the proportionate value shall be extended 60 days over and above the extended warranty period.
The time taken to repair the instrument within the warranty period will be added to the present warranty period and will be extended accordingly.
e) The system shall usually have a minimum life span of 10 years (provided the system is maintained only by Party 2 through AMC/CMC and all the prescribed prerequisites are provided continuously) and all necessary spare parts and accessories, as and when required, shall be made available for 10 years subject to the availability /up gradation of the technology by Party 3 from the date of installation.

9. (a) The guarantee is subject to the agreement by Party 1 that no alteration / repair is carried out to the equipment by any person other than an authorized representative of Party 2  and Party 3.
  (b) In the event the equipment so supplied does not produce expected result (as per offered specification) in spite of its maintenance by Party 2 and Party 3 as agreed during its guaranty period or warranty period the said equipment will be made fully functional to the satisfaction of Party 1 by Party 2 without charging any additional cost and / or purchase price including installation charges. Custom Duty exemption certificate should be provided for replacement if any.

10. PERFORMANCE SECURITY DEPOSITS
(a) Party 2 and Party 3 have to deposit 5% of contract value in INR equivalent to the foreign currency ($/Euro etc.-------) as Performance Security Deposit to the Chittaranjan National Cancer Institute, Kolkata, in the form of Bank Guarantee, which will be valid for -------------year(s) from the date of installation.
(b) The performance security will be discharged by the Party 1 and returned to Party 2 and Party 3 at the completion of ------------ months or following the date of completion of the Party 2  and Party 3 performance obligations which ever is later, including the warranty obligation under the contract.
(c) In the event of any contact amendment the Party 2 and Party 3 shall within 21 days of receipt of such amendment furnish the amendment to the performance security, rendering the same valid for the duration of the contract as amended for a further period of covering warranty.

11. EARNEST MONEY DEPOSIT
All Bids must be accompanied by Earnest Money Deposit (EMD) of 2% of the total cost of the equipment quoted in the shape of a demand draft drawn in any nationalized bank made in favour of Director, CNCI, payable at Kolkata failing which the tenders received will be rejected. For the successful Bidder the EMD will be adjusted as performance security deposit. For unsuccessful Bidders the EMD will be refunded. 

12. MAINTENANCE CONTRACT
Party 2 and Party 3 agree to provide an additional  ------ annual maintenance (labor only) or annual comprehensive maintenance (labor and spare parts) after the expiry of --------- standard warranty period for the item to be purchased. This will be as per discretion of Party 1 that will be binding for Party 2 and Party 3.
The payment for annual maintenance contract to be made by Party 1 to Party 2 every year in advance through Demand Draft/cheque.

13. CANCELLATION OF CONTRACT:
Cancellation of contract in full or part is possible under following conditions:

  1. at any time makes default in proceeding with the supply or part thereof with due diligence and continues to do so after a notice in writing of 7 days from the CNCI,
  2. commits default to comply with any of the terms and conditions of the contract and does not remedy it or take effective steps to remedy it within 7 days from the CNCI,
  3. fails to complete the supply or items of supply within the stipulated date.

14. ARBITRATION
(a)        All disputes, differences and questions whatsoever which shall arise between the parties hereto during the continuance of the contract or afterwards touching this contracts or the constructions or applications thereof on any clause or thing herein contained on the rights, duties and liabilities of either party in connections herewith shall be subjected to the jurisdiction of the court at Kolkata. The Arbitrators will be nominated by the Director, CNCI, Kolkata.
(b)        The Arbitration and Conciliation Act 1996 and the rules framed thereafter and any statutory modification or re-enactment thereof shall apply to the arbitration proceedings.
(c)        This agreement shall be governed by the laws of India shall govern this agreement and any legal actions under the agreement shall be taken by the parties only in India in a competent court of jurisdictions in Kolkata.
(d)        After entering into this agreement any dispute arising out from the present contract will fall under the territorial jurisdiction of the Hon’ble High Court Kolkata or in any competent court of jurisdiction in Kolkata.

SPECIFICATIONS FOR THE INSTRUMENTS :

1. Incinerator:

  1. Should be electrically operated and specifically made for biomedical wastes
  2. Design should be such that it can be installed indoor with a room space of 112 sq ft at 7th floor
  3. Should meet the CPCB emission standard
  4. Should consist of dual chamber for efficient burning
  5. Should have a separate ash collection chamber
  6. Capacity should be at least 10kg per hour
  7. Should be provided with emission chimney, height should be as per CPCB norms
  8. Should be provided with dilution process system
  9. Should be provided with foul odor treatment system
  10. Should be provided with gravity settler
  11. Insulation should be with glass wool
  12. Burning chambers should be lined with fire bricks
  13. Loading should preferably be from top
  14. Should be provided with ash collection tray
  15. The burning chamber should have some tilting device for easy dropping of ash to the ash collection chamber
  16. Should be provided with a control panel consisting of solid state digital temperature controller cum indicator
  17. The supplier should take the responsibility to procure NOC from the WBPCB for installation of the Incinerator.

 2. Horizontal Sterilizer:

  1. Should be rectangular, horizontal, double chambered
  2. Should be robust, rugged
  3. The inner chamber should be made of stainless steel
  4. The outer chamber or jacket should be made of rolled steel
  5. Should have a single door made of rolled steel and lined with SS on both sides
  6. The door should have self locking device
  7. The door should have radial locking system
  8. The door should be fitted with heat resistant rubber gasket
  9. The outer jacket preferably be lined with asbestos or glass wool on the outer side to prevent heat loss
  10. The boiler should be made of thick stainless steel and should be located just under the sterilizer
  11. Heating coils should be fitted in both the sides of the boiler for uniform heating
  12. Boiler should be provided with water gauge glass, pressure gauge and safety valve, water inlet and outlet valves, dial thermometer
  13. Boiler should be provided with ‘low water level cut off’ device
  14. The sterilizer should have multi-port control valve for setting it in different mode e.g., sterilizing or fast exhaust mode
  15. Should be provided with quick exhaust valve, ejector valve, vacuum drier, steam trap, steam exhaust line, screen for draining inner chamber, vacuum breaker for the jacket
  16. Should be provided with pressure gauges for inner chamber and jacket
  17. Should have a composite switch box comprising of pressure control switch, main switch, pilot lamps, relays, etc, necessary for operation of the sterilizer

3. Low Speed Cold Centrifuge:

  1. Microprocessor  controlled  table  top   refrigerated  centrifuge  with  adjustable speed  from 300  to  15,000  rpm  and  max. RCF Value 24,500g or higher.
  2. CFC- free refrigerant. Digital display (LCD) for speed, time, sample/chamber temp. , RCF.
  3. Maintenance -free frequency -controlled induction drive. Acceleration & deceleration profile:  9 / 10.
  4. Temp. range :  – 10 deg. C  to  + 40 deg. C.  
  5. Pre cooling function to achieve 4 deg. C should be available with direct button.

  8. Imbalance Detection System: Smart Spin technology for advanced rotor management system to identify imbalance during run due to liquid spillage or tube breakage.
  9. It should have Auto Lock rotor system so that it can be installed and removed without any tools in less than 5 Sec. With just a push of a button for quick and easy change of rotors. 
  10. Dual timing mode for at start and at speed.
  11. Dual temperature mode for Chamber temperature and Sample temperature. 
  12. Enhanced security with password protection of programs and lid openings.
  13. It should be certified for quality & safety by International Certification Agency, like UL, CSA certified, CE marked, IVD compliant etc.
  14. It should have an option for automatic lid opening at the end of the run. 
  15. It should have a minimum of 5 direct recall program keys and capability for up to 99 programs.
  16. The angle rotors must be manufactured from a highly corrosion and fatigue resistant Carbon Fiber material. The fixed angle carbon fiber rotors should be warranted for at least 12 to 15 years.
  17. The buckets and rotors sealing lids must be certificate for bio-containment by a 3rd party Lab of worldwide recognition. 
  18. Power: Suitable for 230V, single phase, AC, 50 Hz operation.
  19. Accessories:

5. High Speed Cold Centrifuge:

  1. Microprocessor controlled table top refrigerated centrifuge with adjustable speed and with quick run facility.

  4. Digital display (LED) for speed, time, temp., RCF, acceleration & deceleration profiles & program.
  5. Maintenance- free induction drive Imbalance detection: Electronic imbalance detection to detect imbalance, even if it occur due to tube breakage or liquid spillage during the run.
  6. It should have tested in accordance with international standard for safety and performance, and document should be provided.
  7. Maximum noise level should be less than 55 db(A).
  8. Power: 220- 230VAc, single phase, 50-60 Hz operation.
  9. Accessories:
    (i) 6x250 ml Fixed angle rotor with maximum RCF higher than 18,500 x g with 50 ml & 15 ml conical tube adaptors.
    (ii) 4 x 750 ml swing-out rotor with max. RCF higher than 4,500 x g with 750 ml round bucket, cap & 50 ml conical & round tube adaptor to be quoted. Also, adaptor for tissue culture flask for 75 ml & 25 ml to be quoted.

6. CO2 Incubator

  1. One chamber CO2 Incubator with work chamber volume approx. 150 liters.
  2. Air jacketed heating system (not direct heating system) with temp.  Control by microprocessor.
  3. Temp. Range from ambient +3 o C to + 55 o C 
  4. Temp. Deviation with respect to time is + 0.1K. 
  5. CO2 control by Microprocessor based & by heat resistant Thermal Conductivity Detector to withstand heat of decontamination.
  6. CO2 range 0 to 20%   or better and CO2 accuracy + 0.1% by volume.
  7. System should have Interactive Control with Touch screen for rapid access of important information for each critical   parameter in the Incubator.
  8. Fast Recovery time for Temp., CO2 and Humidity should be available for good culture growth. Temp. recovery time at 37°C : less than 10 min. CO2 recovery time for 5% CO2 : less than 5 min. Humidity recovery  at  95% rH  ( Humidity loss during door opening  30 seconds ): not more than  20 minutes.
  9. System  should  have  built-in   automatic  decontamination facility  to  remove  bacteria, fungi,  spores, mycoplasma  etc. without  removing sensor, fan  or any  other  fitting. The  system  should  employ  automatic  decontamination  routine   at  moist  heat of  90 o C  or  dry  heat  of  180  deg  C.
  10. Validation certificate of the decontamination routine from any accredited agency such as FDA, CAMR etc should be enclosed.
  11. At least 3 nos. stainless steel perforated shelves should be supplied.
  12. It  should  be  supplied  with access  port  to  allow  any cable, plug  or  tubing  to  be  easily  inserted  into  or  out  of  the  chamber.
  13. Interior  chamber  should  be made of  stainless steel with electro polish  finish  to  have  highest quality of inner  surface  with  rounded  corners  on  all sides  for  easy  cleaning. The  shelves  and fan  impeller  also should  be made of  stainless  steel  and  should not  have  nuts  or bolts for shelf  supports  to reduce the  scope  of  growth  of  contamination. No plastic should be inside to avoid VOC.
  14. Built-in audible  and visual  water  level  alarm should  be  available when the  water  reservoir  needs to be  refilled  to  ensure  a  constant  high  level  of  humidity  and  to  prevent  cultures from drying  out.
  15. Independent electronic over temp. Protection with separate sensor should be available for sample protection. 
  16. The system should have large digital display for both temp. &  CO2 simultaneously.
  17. System  should  have  one  main  door  and  one  glass  doors.
  18. Suitable for 230V, single phase 50Hz operation.
  19. Suitable  servo  voltage  stabilizer  with high  voltage  low voltage cut  off   circuit, auto  reset with delay  timer  and  spike  eliminator  etc. &  Double  stage  CO2  pressure  regulator  with stainless  steel  diaphragm  & 18Kg  CO2 Cylinder  filled  with  CO2  gas 99.5%  or  better  purity required  for  operation  of  CO2  Incubator  should  also  be  quoted.
  20. Warranty  2 years.

Format of Warranty Clause

  1. The supplier warrants that the goods supplied under this contract are new, unused, of the most recent or current models and that they incorporate all recent improvements in design and material unless provided otherwise in the contract.  The supplier further warrants that Goods supplied under this contract shall have no defect, arising from design, materials and worksmanship or from any act of omission of the supplier, that may develop under normal use of the supplied Goods in condition prevailing in this country.

AGREEMENT BETWEEN CHITTARANJAN NATIONAL CANCER INSTITUTE, KOLKATA 700026,
INDIA and M/S ------------------------  (Foreign Manufacturer)

1. This agreement made on this day of                     amongst M/s --------------, India (Supplier/Beneficiary), (here in after referred as Party 2) and M/s ----------------(Foreign Manufacturer) (here in after referred as Party 3) which expression shall, unless excluded by or repugnant to the subject or context, include their successors, representatives, heirs, executors and administrators) on the one part and Chittaranjan National Cancer Institute, 37 S.P. Mukherjee Road, Kolkata 700026, India (here in after called Party 1) on the other part.

2. Whereas Party1 has placed an order to party 3 through their Indian supplier Party 2 vide buyers order No. ------------------- dated ----------- for ------ number of --------------- along with accessories. Party 2 and Party 3 have agreed to sell/supply, install, commission and maintain the system/equipment at Chittaranjan National Cancer Institute, Kolkata.

3. Party 2, Party 3 and Party 1 hereby further agree that the said order together with the schedule(s) instructions and all special conditions shall be deemed to form part of this agreement as though separately set out herein and are included in the expression contract whenever used in the connection with the said order.

4. DELIVERY / INSURANCE.

  1. Delivery of the system will be within 3 months from the date of receipt of acceptable letter of Credit by Party 3. Extension under any circumstances will not be considered. Any cost escalation due to delay on account of default by Party 2 and Part 3 will be on the account of Party 2 and Party 3.
  2. That Party 2  and Party 3 shall replace any part or even the whole part of the system as may be necessary, if found damaged on arrival at site or during installation of the system or if found not conforming to the specifications as described in Annexure –I at their own cost.
  3. The equipment shall be dispatched by --------------- from -------- to Kolkata airport/port. The equipment shall be insured upto site of Party 1 by Party 3 for full CIF Value up to CNCI.

5. CUSTOM CLEARANCE
Customs clearing procedures & charges shall be borne by Party 2 and also transportation procedures & charges shall be undertaken by Party 2 under their responsibility and care for which no additional payment will be made by Party 1, except the actual customs duty. The demurrage charges incurred due to delay in availability of relevant documents & Customs Duty from Party1 will be on account of Party1.

6. PRICE PAYMENT TERMS

  1. The Total Price of ------------- with accessories is ----------$/Euro/Yen etc.(in words and figures) which is CIF value, Kolkata. The payment for the imported goods shall be made through a confirmed, irrevocable letter of credit/sight draft to M/s --------------, the Principal (Party 3) and the payment for local items and service shall be made through irrevocable letter of credit / bank draft etc to------------- (Party 2) and the payment of service charges shall be payable in Indian Rupees through bank draft etc. in favour of M/s -----------------. The actual custom duty and any increase in actual custom duty applicable at the time of clearance will be due to the account of Party   
    The release of the payment will be in the following way:
    1. Advance Payment: Nil.
    2. On delivery ninety percent (90%) of the contract price shall be paid on receipt of goods and upon submission of the documents.
    3. On Final Acceptance: The remaining ten percent (10%) of the contract price shall be paid to the supplier within 60 days after satisfactory installation and the date of acceptance certificate issued by the purchaser’s representative for the respective delivery.
  2. Installation and commissioning of the ------------------  is free of charge and installation would be carried out by M/s --------------------
  3. Maintenance of the system including all the spare parts required during the warranty period of -------- year for the main system from the date of installation and successful operation   of the unit will be at the cost of Party 2 and Part 3. Party 3 will provide spare parts.
  4. The import license, permanent account number and any other necessary documents required for custom clearance will be provided well in advance by Party 1
  5. Party 1 will provide way bill if necessary.

7. INSTALLATION
Party 2 and Party 3 shall demonstrate, conduct and trial run to establish successful performance and handing over of the said equipment in satisfactory working condition within a period of 90 days from the date of delivery of the equipment at site of Party 1.
N.B: All the prerequisites for installations including site have to be made ready to avoid any delay in installation after arrival of consignment by Party1.

8. WARRANTY / SERVICE
a) The Party 2 and Party 3 have agreed that the system ---------------- shall remain under warranty for a period of 12 months from the date of installation, acceptance and commissioning OR 15 months from date of shipment whichever occurs earlier.
b) Party 1 will provide duty exemption certificate in connection with the import of any replacements.
c) In case of detection of any fault in the instrument and informing the same to the Party 2 by Party 1, Party 2 should attend the instrument within 48 hrs (with exclusion of Sundays, Holidays) and take appropriate measures to rectify the problem.
d) In the event of any correction of defects or replacements of defective materials during the warranty period, the warranty for the corrected replaced material shall be extended to a further period of 12 months and the performance bank guarantee for the proportionate value shall be extended 60 days over and above the extended warranty period.
The time taken to repair the instrument within the warranty period will be added to the present warranty period and will be extended accordingly.
e) The system shall usually have a minimum life span of 10 years (provided the system is maintained only by Party 2 through AMC/CMC and all the prescribed prerequisites are provided continuously) and all necessary spare parts and accessories, as and when required, shall be made available for 10 years subject to the availability /up gradation of the technology by Party 3 from the date of installation.

9. (a) The guarantee is subject to the agreement by Party 1 that no alteration / repair is carried out to the equipment by any person other than an authorized representative of Party 2  and Party 3.
  (b) In the event the equipment so supplied does not produce expected result (as per offered specification) in spite of its maintenance by Party 2 and Party 3 as agreed during its guaranty period or warranty period the said equipment will be made fully functional to the satisfaction of Party 1 by Party 2 without charging any additional cost and / or purchase price including installation charges. Custom Duty exemption certificate should be provided for replacement if any.

(a) Party 2 and Party 3 have to deposit 5% of contract value in INR equivalent to the foreign currency ($/Euro etc.-------) as Performance Security Deposit to the Chittaranjan National Cancer Institute, Kolkata, in the form of Bank Guarantee, which will be valid for -------------year(s) from the date of installation.
(b) The performance security will be discharged by the Party 1 and returned to Party 2 and Party 3 at the completion of ------------ months or following the date of completion of the Party 2  and Party 3 performance obligations which ever is later, including the warranty obligation under the contract.
(c) In the event of any contact amendment the Party 2 and Party 3 shall within 21 days of receipt of such amendment furnish the amendment to the performance security, rendering the same valid for the duration of the contract as amended for a further period of covering warranty.

11. EARNEST MONEY DEPOSIT
All Bids must be accompanied by Earnest Money Deposit (EMD) of 2% of the total cost of the equipment quoted in the shape of a demand draft drawn in any nationalized bank made in favour of Director, CNCI, payable at Kolkata failing which the tenders received will be rejected. For the successful Bidder the EMD will be adjusted as performance security deposit. For unsuccessful Bidders the EMD will be refunded. 

12. MAINTENANCE CONTRACT
Party 2 and Party 3 agree to provide an additional  ------ annual maintenance (labor only) or annual comprehensive maintenance (labor and spare parts) after the expiry of --------- standard warranty period for the item to be purchased. This will be as per discretion of Party 1 that will be binding for Party 2 and Party 3.
The payment for annual maintenance contract to be made by Party 1 to Party 2 every year in advance through Demand Draft/cheque.

13. CANCELLATION OF CONTRACT:
 Cancellation of contract in full or part is possible under following conditions:
i)  at any time makes default in proceeding with the supply or part thereof with due diligence and continues to do so after a notice in writing of 7 days from the CNCI,
ii)  commits default to comply with any of the terms and conditions of the contract and does not remedy it or take effective steps to remedy it within 7 days from the CNCI,
iii)  fails to complete the supply or items of supply within the stipulated date.

14. ARBITRATION
(a)        All disputes, differences and questions whatsoever which shall arise between the parties hereto during the continuance of the contract or afterwards touching this contracts or the constructions or applications thereof on any clause or thing herein contained on the rights, duties and liabilities of either party in connections herewith shall be subjected to the jurisdiction of the court at Kolkata. The Arbitrators will be nominated by the Director, CNCI, Kolkata.
(b)        The Arbitration and Conciliation Act 1996 and the rules framed thereafter and any statutory modification or re-enactment thereof shall apply to the arbitration proceedings.
(c)        This agreement shall be governed by the laws of India shall govern this agreement and any legal actions under the agreement shall be taken by the parties only in India in a competent court of jurisdictions in Kolkata.
(d)        After entering into this agreement any dispute arising out from the present contract will fall under the territorial jurisdiction of the Hon’ble High Court Kolkata or in any competent court of jurisdiction in Kolkata.

Format of Warranty Clause

  1. The supplier warrants that the goods supplied under this contract are new, unused, of the most recent or current models and that they incorporate all recent improvements in design and material unless provided otherwise in the contract.  The supplier further warrants that Goods supplied under this contract shall have no defect, arising from design, materials and worksmanship or from any act of omission of the supplier, that may develop under normal use of the supplied Goods in condition prevailing in this country.
  2. This warranty shall remain valid for minimum 12 months after the Goods have been delivered / installed or 18 months after the shipment from the port of source country, whichever period concludes earlier.
  3. The purchaser shall promptly notify the supplier in writing of any claims arising under this warranty.

The interested bidders must possess I.Tax, S.Tax clearances and must have ample proof of undertaking identical works in other organisations. AGREEMENT BETWEEN CHITTARANJAN NATIONAL CANCER INSTITUTE,
KOLKATA 700026, INDIA and M/S ------------------------  (Foreign Manufacturer)

1. This agreement made on this day of                     amongst M/s --------------, India (Supplier/Beneficiary), (here in after referred as Party 2) and M/s ----------------(Foreign Manufacturer) (here in after referred as Party 3) which expression shall, unless excluded by or repugnant to the subject or context, include their successors, representatives, heirs, executors and administrators) on the one part and Chittaranjan National Cancer Institute, 37 S.P. Mukherjee Road, Kolkata 700026, India (here in after called Party 1) on the other part.

2. Whereas Party1 has placed an order to party 3 through their Indian supplier Party 2 vide buyers order No. ------------------- dated ----------- for ------ number of --------------- along with accessories. Party 2 and Party 3 have agreed to sell/supply, install, commission and maintain the system/equipment at Chittaranjan National Cancer Institute, Kolkata.

3. Party 2, Party 3 and Party 1 hereby further agree that the said order together with the schedule(s) instructions and all special conditions shall be deemed to form part of this agreement as though separately set out herein and are included in the expression contract whenever used in the connection with the said order.

4. DELIVERY / INSURANCE.

  1. Delivery of the system will be within 3 months from the date of receipt of acceptable letter of Credit by Party 3. Extension under any circumstances will not be considered. Any cost escalation due to delay on account of default by Party 2 and Part 3 will be on the account of Party 2 and Party 3.
  2. That Party 2  and Party 3 shall replace any part or even the whole part of the system as may be necessary, if found damaged on arrival at site or during installation of the system or if found not conforming to the specifications as described in Annexure –I at their own cost.
  3. The equipment shall be dispatched by --------------- from -------- to Kolkata airport/port. The equipment shall be insured upto site of Party 1 by Party 3 for full CIF Value up to CNCI.

5. CUSTOM CLEARANCE

Customs clearing procedures & charges shall be borne by Party 2 and also transportation procedures & charges shall be undertaken by Party 2 under their responsibility and care for which no additional payment will be made by Party 1, except the actual customs duty. The demurrage charges incurred due to delay in availability of relevant documents & Customs Duty from Party1 will be on account of Party1.

6. PRICE PAYMENT TERMS

  1. The Total Price of ------------- with accessories is ----------$/Euro/Yen etc.(in words and figures) which is CIF value, Kolkata.

The payment for the imported goods shall be made through a confirmed, irrevocable letter of credit/sight draft to M/s --------------, the Principal (Party 3) and the payment for local items and service shall be made through irrevocable letter of credit / bank draft etc to------------- (Party 2) and the payment of service charges shall be payable in Indian Rupees through bank draft etc. in favour of M/s -----------------. The actual custom duty and any increase in actual custom duty applicable at the time of clearance will be due to the account of Party 1.    
The release of the payment will be in the following way:

  1. Advance Payment: Nil.
  2. On delivery ninety percent (90%) of the contract price shall be paid on receipt of goods and upon submission of the documents.
  3. On Final Acceptance: The remaining ten percent (10%) of the contract price shall be paid to the supplier within 60 days after satisfactory installation and the date of acceptance certificate issued by the purchaser’s representative for the respective delivery.
  4. Installation and commissioning of the ------------------  is free of charge and installation would be carried out by M/s --------------------
  5. Maintenance of the system including all the spare parts required during the warranty period of -------- year for the main system from the date of installation and successful operation   of the unit will be at the cost of Party 2 and Part 3. Party 3 will provide spare parts.
  6. The import license, permanent account number and any other necessary documents required for custom clearance will be provided well in advance by Party 1
  7. Party 1 will provide way bill if necessary.

7. INSTALLATION

Party 2 and Party 3 shall demonstrate, conduct and trial run to establish successful performance and handing over of the said equipment in satisfactory working condition within a period of 90 days from the date of delivery of the equipment at site of Party 1.
N.B: All the prerequisites for installations including site have to be made ready to avoid any delay in installation after arrival of consignment by Party1.
      
8. WARRANTY / SERVICE

a) The Party 2 and Party 3 have agreed that the system ---------------- shall remain under warranty for a period of 12 months from the date of installation, acceptance and commissioning OR 15 months from date of shipment whichever occurs earlier.
b) Party 1 will provide duty exemption certificate in connection with the import of any replacements.
c) In case of detection of any fault in the instrument and informing the same to the Party 2 by Party 1, Party 2 should attend the instrument within 48 hrs (with exclusion of Sundays, Holidays) and take appropriate measures to rectify the problem.
d) In the event of any correction of defects or replacements of defective materials during the warranty period, the warranty for the corrected replaced material shall be extended to a further period of 12 months and the performance bank guarantee for the proportionate value shall be extended 60 days over and above the extended warranty period.
The time taken to repair the instrument within the warranty period will be added to the present warranty period and will be extended accordingly.
e) The system shall usually have a minimum life span of 10 years (provided the system is maintained only by Party 2 through AMC/CMC and all the prescribed prerequisites are provided continuously) and all necessary spare parts and accessories, as and when required, shall be made available for 10 years subject to the availability /up gradation of the technology by Party 3 from the date of installation.

9. (a) The guarantee is subject to the agreement by Party 1 that no alteration / repair is carried out to the equipment by any person other than an authorized representative of Party 2  and Party 3.
  (b) In the event the equipment so supplied does not produce expected result (as per offered specification) in spite of its maintenance by Party 2 and Party 3 as agreed during its guaranty period or warranty period the said equipment will be made fully functional to the satisfaction of Party 1 by Party 2 without charging any additional cost and / or purchase price including installation charges. Custom Duty exemption certificate should be provided for replacement if any.

Party 2 and Party 3 agree to provide an additional  ------ annual maintenance (labor only) or annual comprehensive maintenance (labor and spare parts) after the expiry of --------- standard warranty period for the item to be purchased. This will be as per discretion of Party 1 that will be binding for Party 2 and Party 3.
The payment for annual maintenance contract to be made by Party 1 to Party 2 every year in advance through Demand Draft/cheque.

13.       CANCELLATION OF CONTRACT:

 Cancellation of contract in full or part is possible under following conditions:

  1. at any time makes default in proceeding with the supply or part thereof with due diligence and continues to do so after a notice in writing of 7 days from the CNCI,

ii)  commits default to comply with any of the terms and conditions of the contract and   
      does not remedy it or take effective steps to remedy it within 7 days from the  
      CNCI,
iii)  fails to complete the supply or items of supply within the stipulated date.

14. ARBITRATION

(a)        All disputes, differences and questions whatsoever which shall arise between the parties hereto during the continuance of the contract or afterwards touching this contracts or the constructions or applications thereof on any clause or thing herein contained on the rights, duties and liabilities of either party in connections herewith shall be subjected to the jurisdiction of the court at Kolkata. The Arbitrators will be nominated by the Director, CNCI, Kolkata.
(b)        The Arbitration and Conciliation Act 1996 and the rules framed thereafter and any statutory modification or re-enactment thereof shall apply to the arbitration proceedings.
(c)        This agreement shall be governed by the laws of India shall govern this agreement and any legal actions under the agreement shall be taken by the parties only in India in a competent court of jurisdictions in Kolkata.
(d)        After entering into this agreement any dispute arising out from the present contract will fall under the territorial jurisdiction of the Hon’ble High Court Kolkata or in any competent court of jurisdiction in Kolkata.

(11)      ATOMIC ABSORPTION SPECTROPHOTOMETER:

1. The Atomic Absorption Spectrometer should be true optically double beam with dual atomizers having capability to switch over from flame to furnace mode through software.  The system should provide D2 background correction for flame part and Zeeman background correction for furnace system. Format of Warranty Clause

  1. The supplier warrants that the goods supplied under this contract are new, unused, of the most recent or current models and that they incorporate all recent improvements in design and material unless provided otherwise in the contract.  The supplier further warrants that Goods supplied under this contract shall have no defect, arising from design, materials and worksmanship or from any act of omission of the supplier, that may develop under normal use of the supplied Goods in condition prevailing in this country.
